01General Provisions
1. These Terms of Service define the rules for using the Scopio B2B platform, available at business.scopio.pl.
2. The operator of the platform is Denys Hritsanov Scopio, ul. Biskupia 6/9, 50-148 Wrocław, NIP: PL6423263578.
3. Scopio B2B provides product catalog integration services with global artificial intelligence models (Gemini, Claude, ChatGPT) using Model Context Protocol (MCP) and Universal Commerce Protocol (UCP) standards.
02Conditions of Use and Registration
1. Scopio B2B services are directed exclusively to business entities (B2B). Registration of consumers (individuals not conducting business) is not allowed.
2. It is required to provide current and true company registration details (Tax ID / NIP, REGON, KRS / CEIDG).
3. Payouts and financial transactions are processed via Stripe Express Connect. Every supplier is obliged to undergo Stripe's KYC (Know Your Customer) verification.
03Subscription Plans and Payments
1. Use of the full platform functionality (own AI agent, Google Calendar integration, dedicated MCP server) is based on annual subscription plans:
- Supplier Hub: 25,500 PLN net / year (visibility in the AI ecosystem, API-to-api requests)
- Supplier Pro: 46,750 PLN net / year (catalog + UCP voice agent on your website)
- Procurement Agent: 17,000 PLN net / year (autonomous AI buyer)
- Business Agent iframe: 31,875 PLN net / year (standalone UCP voice agent)
2. Payments for annual subscriptions are settled on the basis of a proforma invoice via bank transfer.
04Scopio Marketplace Access and Commission
1. Catalog connection and offer publication on the Scopio Marketplace platform (scopio.pl) is free.
2. Scopio charges a 5% commission of the gross value on each sales transaction completed through the Scopio Marketplace catalog bridge.
3. The 5% commission is automatically deducted by Stripe Connect at the time of transaction settlement.
05Technical Requirements and Synchronization
1. The supplier agrees to maintain up-to-date stock and pricing. Data synchronization can take place via REST API, XML Feed, Excel, JSON Feed or FTP.
2. Scopio is not responsible for errors in transactions resulting from lack of updates to stock levels (at least once every 4 hours) or prices (at least once every 24 hours).
06Copyright and Licenses
1. Scopio grants the user a non-exclusive, non-transferable license to use the Business Agent deployment iframe code during the subscription period.
2. Modifying, reverse engineering, or copying the communication protocols of the platform without the written consent of Scopio is prohibited.
07Data Protection and GDPR
1. Personal data of buyers are processed by Scopio and entrusted to suppliers solely for the purpose of order fulfillment, in accordance with the Data Processing Agreement (DPA) and GDPR regulations.
2. Communication with LLM models is maintained with strict confidentiality. Transactional data is not used to train public models.
08Final Provisions
1. Any disputes will be resolved by the court competent for the registered office of the Scopio platform operator in Wrocław.
2. The terms of service enter into force on 01.01.2025.
